Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by Hasil ("Hasil", "we", "us"), including Hasil Pricing and Hasil Sync (collectively, the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Who you are contracting with

You are contracting with Hasil. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms. If you are using the Service as an individual, you confirm that you are of legal age in your jurisdiction.

2. The Service

Hasil provides commerce operations tools for Shopify merchants, including B2B wholesale pricing portals and an Odoo↔Shopify synchronisation connector. Features and limits depend on the plan you select.

3. Accounts

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

4. Acceptable use

You agree not to:

• Use the Service for unlawful, fraudulent, or deceptive purposes.
• Send spam or unsolicited communications through the Service.
• Infringe the intellectual property, privacy, or other rights of any third party.
• Interfere with the security or integrity of the Service, including probing, scanning, scraping at scale, or uploading malware.
• Reverse engineer, decompile, or attempt to derive source code from the Service, except as permitted by law.
• Resell or sublicense the Service without our written consent.

5. Intellectual property

The Service, including all software, documentation, and branding, is owned by Hasil and its licensors and is protected by intellectual property laws. Subject to these Terms and timely payment of fees, we grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the data and content you submit; you grant us a limited licence to host and process that content solely to provide the Service.

6. Payments, billing, and Merchant of Record

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle handles billing, payments, tax compliance, invoicing, refunds, and related customer service inquiries. The mechanics of your purchase — including renewal, cancellation, tax, and refunds — are governed by Paddle's Buyer Terms at paddle.com/legal/checkout-buyer-terms and Paddle's Refund Policy at paddle.com/legal/refund-policy. Our refund commitments are set out in our Refund Policy.

Subscriptions renew automatically at the end of each billing period (monthly or annual) until cancelled. You may cancel at any time from your account or via Paddle. Fees already paid for the current period are non-refundable except as expressly stated in our Refund Policy or required by law.

7. Free trial

Where offered, the 14-day free trial converts into a paid subscription at the end of the trial unless you cancel before it ends.

8. Suspension and termination

We may suspend or terminate your access to the Service if: (a) you materially breach these Terms, (b) fees are overdue, (c) we reasonably suspect fraud or a security risk, or (d) you repeatedly violate our policies. On termination, your right to use the Service ends and we may delete account data after a reasonable export window.

9. Service levels and disclaimers

We work hard to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, the Service is provided "as is" and "as available", and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Each party's aggregate liability arising out of or relating to these Terms will not exceed the amounts paid by you to Hasil (via Paddle) in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Indemnity

You will indemnify and hold Hasil harmless from claims arising out of your content, your unlawful use of the Service, or your breach of these Terms.

12. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. Material changes will be communicated through the Service or by email and will take effect on the date stated.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Hasil is established, without regard to conflict of laws principles. Disputes will be resolved by the competent courts of that jurisdiction.
